Terms of Service

These Terms of Service ("Terms") govern your access to and use of the iDeliver platform, mobile application, website, and all related services (collectively, the "Service"). By creating an account or using any part of the Service, you agree to be bound by these Terms. If you do not agree, you must not use iDeliver.

Please read these Terms carefully alongside our Privacy Policy, which is incorporated into these Terms by reference.

1. About iDeliver

iDeliver is a digital healthcare platform that connects patients with licensed medical doctors and facilitates the delivery of prescribed medications and related healthcare services. We are a technology company, not a healthcare provider. The medical services available through iDeliver are provided by independent, licensed healthcare professionals who operate on our platform.

iDeliver does not practice medicine, provide medical diagnoses as a company, or replace the need for emergency or in-person care where such care is clinically required. We are a facilitator of access to qualified medical professionals and an enabler of efficient, remote healthcare delivery.

Our platform is currently available in Nigeria. By using iDeliver, you confirm that you are accessing the Service from a supported region and that you understand the scope of what we do and do not provide.


2. Eligibility

To use iDeliver, you must be at least 18 years of age. If you are under 18, you may only use the Service under the direct supervision and with the express consent of a parent or legal guardian who accepts these Terms on your behalf and takes full responsibility for your use of the platform.

By creating an account, you represent and warrant that all information you provide is accurate, complete, and current. You also confirm that you have the legal capacity to enter into a binding agreement under applicable law.

We reserve the right to refuse access to the Service to anyone at any time, for any reason, including where we have reason to believe that a user has violated these Terms, provided false information, or poses a risk to the safety of others on the platform.


3. Account Registration and Security

3.1 Creating an Account

To access most features of iDeliver, you must register for an account. You agree to provide accurate, truthful, and up-to-date information during registration and to keep that information current throughout your use of the Service. Providing false or misleading information, particularly health-related information, may result in inappropriate medical care and constitutes a breach of these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share your account with any other person. If you become aware of any unauthorised use of your account or any security breach, you must notify us immediately at our support email.

3.3 One Account Per User

Each user is permitted to maintain one account. Creating multiple accounts to circumvent restrictions, access promotions multiple times, or evade a suspension or ban is strictly prohibited and may result in permanent removal from the platform.

3.4 Account Termination by You

You may request to close your account at any time by contacting our support team. Upon closure, your access to the Service will be revoked. Certain data may be retained as required by applicable law or for legitimate business purposes as described in our Privacy Policy.


4. Medical Services and Clinical Responsibility

4.1 Nature of the Service

The medical consultations facilitated through iDeliver are conducted by independent, licensed doctors. These doctors exercise their own clinical judgment and are solely responsible for the medical advice, diagnoses, and prescriptions they provide. iDeliver does not direct, supervise, or control the clinical decisions made by healthcare professionals on the platform.

4.2 Not a Substitute for Emergency Care

iDeliver is not an emergency service. If you are experiencing a life-threatening medical emergency, you must contact your local emergency services immediately. Do not use iDeliver as a substitute for emergency care. In the event of a medical emergency, call your local emergency number or go to the nearest hospital.

4.3 Accuracy of Health Information

The quality and safety of the medical care you receive through iDeliver depends in part on the accuracy of the information you provide. You must be honest and thorough when describing your symptoms, medical history, medications, and allergies. Withholding or misrepresenting health information may result in inappropriate care and places you at risk. iDeliver and the healthcare professionals on our platform cannot be held responsible for adverse outcomes resulting from inaccurate or incomplete information provided by you.

4.4 Prescription Medications

Prescriptions issued through iDeliver are based on the clinical assessment of licensed doctors. You must use prescribed medications only as directed. You must not share, sell, or misuse any medication obtained through the platform. iDeliver reserves the right to decline prescription requests where there is clinical uncertainty, insufficient information, or where a prescription would not be appropriate without an in-person examination.

4.5 Second Opinions and Continuity of Care

We encourage you to maintain a relationship with a primary healthcare provider and to share any information from iDeliver consultations with them as appropriate. iDeliver consultations are not intended to replace ongoing care relationships, particularly for chronic or complex medical conditions.


5. Delivery Services

5.1 Scope of Delivery

iDeliver facilitates the delivery of prescription and over-the-counter medications to your specified address. Delivery availability, timelines, and applicable fees depend on your location and the specific items ordered. We will communicate estimated delivery windows at the time of order.

5.2 Delivery Address and Receipt

You are responsible for providing an accurate and accessible delivery address. iDeliver is not liable for failed or delayed deliveries caused by incorrect address information. For certain controlled medications, a signature or identity verification may be required upon receipt. You must ensure that you or an authorised adult is available to receive such deliveries.

5.3 Delivery Delays and Failures

While we make every effort to deliver within the communicated timeframe, delays may occur due to circumstances outside our control, including traffic, adverse weather, supply issues, or third-party logistics failures. In such cases, we will notify you and work to resolve the situation as promptly as possible. We do not guarantee specific delivery times and are not liable for losses arising from delivery delays beyond our reasonable control.

5.4 Returns and Refusals

Due to the nature of pharmaceutical products, we are unable to accept returns of medications once delivered, except in cases of incorrect items, damaged goods, or quality issues. If you receive an incorrect or damaged order, please contact our support team within 24 hours of delivery.


6. Payments and Billing

6.1 Fees

Certain features of iDeliver, including consultations, prescriptions, and delivery, may be subject to fees. All applicable fees will be clearly communicated to you before you complete a transaction. By proceeding with a transaction, you agree to pay the stated fees.

6.2 Payment Methods

We accept payment through the methods made available on the platform at the time of your transaction. You represent that you are authorised to use the payment method you provide and that the payment information you submit is accurate. iDeliver uses third-party payment processors and does not store your full payment card details on our systems.

6.3 Refunds

Consultation fees are generally non-refundable once a consultation has commenced. If a consultation could not be completed due to a technical failure on our end, you may be eligible for a credit or refund at our discretion. Medication refunds are handled in accordance with our delivery returns policy outlined in Section 5.4.

6.4 Pricing Changes

We reserve the right to adjust pricing at any time. Where price changes affect ongoing or subscription-based arrangements, we will provide reasonable advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.


7. Acceptable Use

You agree to use iDeliver only for lawful purposes and in a manner consistent with these Terms. You must not use the Service in any way that:

Violates any applicable local, national, or international law or regulation, including healthcare regulations and data protection laws.

Involves the submission of false, misleading, or fraudulent information, including false symptoms or identity details.

Attempts to obtain prescription medications for purposes other than personal use, including resale, distribution, or misuse.

Involves the harassment, abuse, or intimidation of any healthcare professional, iDeliver staff member, or other user.

Interferes with, disrupts, or places unreasonable load on the infrastructure of the Service, including through automated access, scraping, or denial-of-service attacks.

Attempts to gain unauthorised access to any part of the platform, another user's account, or any systems or networks connected to the Service.

Involves the transmission of viruses, malware, or any other malicious or harmful code.

Reproduces, distributes, modifies, or creates derivative works from any part of the Service without our express written permission.

We reserve the right to investigate and take appropriate action against any user who violates this section, including suspension or permanent termination of their account and, where appropriate, referral to law enforcement.


8. Intellectual Property

All content, features, and functionality of the iDeliver platform, including but not limited to text, graphics, logos, icons, images, software, and the overall design and structure of the Service, are owned by iDeliver or our licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial healthcare purposes in accordance with these Terms. This licence does not include the right to copy, modify, distribute, sell, or exploit any part of the Service beyond what is expressly permitted.

Any feedback, suggestions, or ideas you provide to us about the Service may be used by iDeliver without any obligation to compensate you or keep such information confidential.


9. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, iDeliver makes no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or uninterrupted availability.

We do not warrant that the platform will be free from errors, bugs, or security vulnerabilities. We do not guarantee that the Service will meet your specific requirements or that results obtained through the Service will be accurate or reliable.

Health information and content available on the platform, other than direct clinical advice from a licensed doctor, is provided for general informational purposes only. It does not constitute medical advice and should not be relied upon as a substitute for consultation with a qualified healthcare professional.

iDeliver does not endorse any specific medications, treatments, or healthcare products. Any reference to specific products or treatments on the platform is for informational purposes only.


10. Limitation of Liability

To the fullest extent permitted by applicable law, iDeliver, its directors, employees, affiliates, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Service.

This includes but is not limited to damages for loss of data, loss of revenue, loss of profits, loss of goodwill, personal injury, or any other intangible losses, even if iDeliver has been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total amount you paid to iDeliver in the 90 days preceding the event giving rise to the claim, or the sum of ten thousand Naira (NGN 10,000), whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.


11. Indemnification

You agree to indemnify, defend, and hold harmless iDeliver, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of the Service in violation of these Terms.

Any false or misleading information you provide, including health information submitted during a consultation.

Your violation of any applicable law or the rights of any third party.

Any misuse of prescriptions or medications obtained through the platform.


12. Suspension and Termination

12.1 Suspension by iDeliver

We reserve the right to suspend or restrict your access to the Service at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful behaviour, or posed a risk to the safety of our users, healthcare professionals, or the platform itself. We will endeavour to notify you of any suspension unless doing so would compromise an investigation or is otherwise not practical.

12.2 Termination by iDeliver

We may terminate your account permanently for serious or repeated violations of these Terms. Upon termination, your right to use the Service ceases immediately. We are not obligated to provide refunds for unused services where termination is due to your breach of these Terms.

12.3 Effect of Termination

Termination of your account does not affect any rights or obligations that arose prior to termination. Provisions of these Terms that by their nature should survive termination, including sections on intellectual property, disclaimers, limitation of liability, and indemnification, will continue to apply.


13. Third-Party Services

The Service may integrate with or link to third-party services, including payment processors, identity verification providers, and logistics partners. These third-party services are governed by their own terms and privacy policies. iDeliver is not responsible for the content, practices, or reliability of any third-party service.

Your use of third-party services accessed through or in connection with iDeliver is at your own risk. We encourage you to review the terms and privacy policies of any third-party service before providing them with your information.


14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

In the event of any dispute arising out of or in connection with these Terms or the Service, the parties agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved informally within 30 days, it shall be referred to mediation before either party initiates formal legal proceedings.

If mediation fails to resolve the dispute, the parties submit to the exclusive jurisdiction of the courts of Nigeria for the resolution of such disputes. If you are accessing the Service from outside Nigeria, you agree that Nigerian law governs these Terms regardless of where you are located.


15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, the law, or how our Service operates. When we make material changes, we will notify you through the platform or by email prior to the changes taking effect, and we will update the "Last updated" date at the top of this page.

Your continued use of iDeliver after updated Terms have taken effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account.

We encourage you to review these Terms periodically so that you remain informed of your rights and obligations.


16. Severability and Waiver

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the rest of the Terms, which shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any breach or default under these Terms does not constitute a waiver of any subsequent breach or default.


17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and iDeliver with respect to your use of the Service. They supersede all prior agreements, representations, warranties, and understandings between you and iDeliver relating to the Service.

No oral or written statement made outside of these Terms shall be binding on iDeliver unless made in writing and signed by an authorised representative of the company.
